3.1 AI-Powered Document Generation

PrivacyForge.ai provides an AI-powered platform that generates privacy policies and compliance documentation based on your business practices and regulatory requirements. The Service covers multiple regulations including GDPR, CCPA/CPRA, COPPA, CalOPPA, and PIPEDA.

3.2 Document Delivery

Generated documents are delivered via email to the address you provide during the questionnaire process. We maintain high standards for delivery reliability and will work to resolve any delivery issues promptly.

3.3 Service Availability

We strive to maintain 99.99% uptime for our Service. However, we do not guarantee uninterrupted access and may perform maintenance that temporarily affects availability.

4. User Obligations and Prohibited Uses

4.1 Lawful Use Only

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service:

  • For any illegal business activities or purposes
  • To generate documentation for businesses engaged in illegal activities
  • In any way that violates applicable laws or regulations
  • To circumvent any technical limitations of the Service

4.3 Implementation Responsibility

You are solely responsible for:

  • Ensuring ongoing compliance with applicable regulations
  • Updating and maintaining your privacy policies as your business practices evolve
  • Seeking appropriate legal review of generated documents before implementation

4.4 System Integrity

You agree not to:

  • Attempt to gain unauthorized access to any parts of the Service
  • Use the Service in any way that could damage, disable, overburden, or impair our servers
  • Upload any malicious code or content
  • Reverse engineer or attempt to extract the source code of our AI systems

5. Payment Terms and Refund Policy

5.1 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service and privacy policy.

5.2 Pricing

Current pricing for our plans is available on our website. Prices may change at any time, but changes will not affect purchases already completed.

5.3 Money-Back Guarantee

We offer a 30-day, 100% money-back guarantee if you are not satisfied with your generated documents. To request a refund, contact us at hi@privacyforge.ai within 30 days of your purchase with your reasons for dissatisfaction.

5.4 Refund Process

Approved refunds will be processed back to your original payment method within 5-10 business days. Refund approval is at our sole discretion based on the terms of our guarantee.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its original content, features, functionality, AI algorithms, and software are and will remain the exclusive property of Shepard Labs LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

6.2 User Ownership of Generated Documents

You retain full ownership and rights to all documents generated through our Service. We claim no ownership interest in your Generated Documents.

6.3 User Information

We claim no ownership rights to the business information and responses you submit through our questionnaire forms. This information is processed solely for the purpose of generating your compliance documents.

6.4 No AI Training Use

Your submitted information and generated documents are not used to train or improve our AI models. Your data remains confidential and is used solely for your document generation.

6.5 License to Use Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your intended business purposes.

7. Document Accuracy and AI Processing

7.1 AI-Generated Content

Our Service uses advanced AI technology to generate compliance documents. While we believe our AI produces highly accurate and legally sound documentation, there is a possibility that the AI may misinterpret certain inputs, though the likelihood of this occurring is low.

7.2 Recommendation for Legal Review

We strongly recommend that you have all generated documents reviewed by qualified legal counsel before implementation to ensure they meet your specific needs and comply with your particular circumstances.

7.3 Regulatory Changes

Privacy and compliance regulations evolve over time. Generated documents reflect the regulatory landscape at the time of generation. You are responsible for monitoring regulatory changes and updating your documentation accordingly.

7.4 No Warranty of Compliance

While our Service is designed to generate comprehensive compliance documentation, we do not warrant that generated documents will ensure complete regulatory compliance in all circumstances or jurisdictions.

8. Limitation of Liability and Disclaimers

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • The accuracy, completeness, or appropriateness of generated documents
  • Compliance with specific regulatory requirements
  • Uninterrupted access to the Service
  • Freedom from errors or harmful components

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHEPARD LABS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, data, use, goodwill, or other intangible losses
  • Regulatory fines, penalties, or enforcement actions
  • Legal costs or expenses
  • Business interruption or loss of business opportunities
  • Any damages arising from your use or inability to use the Service

8.3 Maximum Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

8.4 User Responsibility for Compliance

You acknowledge and agree that:

  • You are solely responsible for ensuring your business practices comply with applicable laws
  • Generated documents are tools to assist with compliance but do not guarantee compliance
  • Proper implementation, maintenance, and updating of policies is your responsibility
  • We are not liable for any regulatory enforcement actions, fines, or penalties

9. Indemnification

You agree to defend, indemnify, and hold harmless Shepard Labs LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of the Service
  • Your implementation or use of generated documents
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any regulatory enforcement actions related to your privacy practices

10. Third-Party Services

10.1 Payment Processing

We use Stripe for payment processing. Your use of Stripe is subject to Stripe's terms of service and privacy policy.

10.2 Analytics

We use Google Analytics to improve our Service. Analytics data is collected in accordance with our Privacy Policy.

10.3 Third-Party Disclaimer

We are not responsible for the availability, content, or practices of any third-party services integrated with our platform.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Modifications to Service and Terms

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

You may stop using the Service at any time. If you are unsatisfied within our refund period, you may request a refund according to Section 5.3.

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Previously generated documents remain your property according to Section 6.2.

14. Governing Law and Dispute Resolution

14.1 Choice of Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14.3 Informal Resolution

Before filing any formal claim, you agree to try to resolve the dispute informally by contacting us at hi@privacyforge.ai. If a dispute is not resolved within 30 days of submission, formal proceedings may be initiated.

14.4 Time Limitation

Any cause of action or claim arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues.

14.5 Class Action Waiver

Any proceedings to resolve disputes will be conducted solely on an individual basis. Neither you nor Shepard Labs LLC will seek to have any dispute heard as a class action, mass action, or representative proceeding.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shepard Labs LLC regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We will not be liable for any delay or failure in performance resulting from acts beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
